Terms & Conditions

These Terms & Conditions (the “Terms”) form a binding agreement between you and WPAUTOAI (“WPAUTOAI”, “we”, “us”) and govern your access to and use of our website, applications, and WhatsApp Business automation services (together, the “Service”).

By creating an account, clicking “I agree”, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

You may use the Service only if you can form a binding contract with us and are acting for a legitimate business purpose. If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization.

• You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information, including a valid business name and billing details, and to keep it up to date.
• Notify us promptly at support@localchat.app if you suspect any unauthorized use of your account.

Subject to these Terms and your payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business operations during your subscription term. We reserve all rights not expressly granted to you.

Paid features are offered on a subscription basis. By subscribing, you authorize us (or our payment processor) to charge the fees for your selected plan on a recurring basis until you cancel.

• Renewals. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Changes. We may change pricing with reasonable advance notice; changes take effect on your next billing period.
• Refunds. Except where required by law, fees are non-refundable and we do not provide credits for partial periods or unused features.
• Messaging charges. Fees charged by WhatsApp / Meta for conversations and templates are separate and may be billed to you in addition to your WPAUTOAI subscription.

You agree not to, and not to permit others to:

• send spam, unsolicited, deceptive, or unlawful messages, or otherwise violate the WhatsApp Business Messaging Policy or applicable anti-spam and consumer-protection laws;
• message recipients who have not given the consent (“opt-in”) required by applicable law and platform rules;
• resell, sublicense, or make the Service available to third parties except as expressly permitted;
• reverse engineer, copy, or build a competing product from the Service, or interfere with its security or integrity.

You are responsible for the conduct of any team members or administrative users you invite to your workspace.

The Service relies on the WhatsApp Business Platform and other third-party services that are operated by their respective providers and governed by their own terms and policies. Your use of those platforms through WPAUTOAI is also subject to their terms, and we are not responsible for their availability, changes, or actions (including the suspension or rejection of your number, templates, or messages).

You retain all rights to the contacts, messages, media, and other content you submit to the Service (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the Service. You are responsible for obtaining all consents and rights necessary for us to process Your Content on your behalf. Our handling of personal data is described in our Privacy Policy.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that messages will always be delivered.

We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us, or fail to pay fees when due. You may stop using the Service at any time.

On termination, your right to use the Service ends. We may delete your data after a reasonable grace period; export anything you wish to keep before your account closes.

You agree to indemnify and hold WPAUTOAI harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your breach of these Terms or of any applicable law or third-party rights.

To the maximum extent permitted by law, WPAUTOAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

The Service, including its software, design, and trademarks, is owned by WPAUTOAI and its licensors and is protected by intellectual property laws. We welcome feedback and suggestions and may use them without restriction or obligation to you. You may not remove or obscure any proprietary notices.

Some features use artificial intelligence to generate suggestions, replies, or summaries. AI output can be inaccurate or incomplete, and you are responsible for reviewing it before relying on or sending it. You must not use AI features to develop competing models or to mislead recipients.

These Terms are governed by the laws of the jurisdiction in which WPAUTOAI is established, without regard to conflict-of-laws rules. You agree to resolve disputes in the courts of that jurisdiction, except where applicable law gives you the right to bring proceedings elsewhere.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
